Warranty and Return Policies:
RXT represents, warrants and covenants to the Client that the RXT: (i) has the full power and authority to enter into and perform its obligations under this Agreement; (ii) is authorized to do business in each state in which the Services are provided under this Agreement; (iii) will not unreasonably interfere with any of the business operations of the Customer while performing the Services; (iv) and its representatives shall comply with all applicable federal, state and local laws, rules and regulations; (v) shall provide the Services in a professional workmanlike manner; (vi) for a period of 30 days, shall use reasonable efforts to ensure the Deliverables substantially conform to the description on the applicable Statement of Work; and (vii) has the right to use all technology, programs and tools used by RXT in connection with RXT 0607.01 2 the performance of Services, and such use shall not infringe any U.S. patent or copyright. 5.2 Client. Client represents, warrants and covenants to the RXT that: (i) the Client has the full power and authority to enter into and perform its obligations under this Agreement; (ii) the Client and its representatives shall comply with all applicable federal, state and local laws, rules and regulations. 5.3 Third Party Products. RXT does not warrant, nor will RXT be responsible for the performance of, any third party product. Client’s sole and exclusive rights and remedies with respect to any third party product, including rights and remedies in the event third party products gives rise to any claim (including an infringement claim), will be against the third party vendor and not against RXT. 5.4 Disclaimer of Warranty. EXCEPT FOR THE LIMITED WARRANTIES CONTAINED IN THIS AGREEMENT, ALL OTHER WARRANTIES CONCERNING DELIVERABLES OR SERVICES PROVIDED BY THE RXT, EXPRESS, IMPLIED OR STATUTORY, ARE HEREBY EXPRESSLY DISCLAIMED AND EXCLUDED, INCLUDING ANY WARRANTY OF INFRINGEMENT, MERCHANT-ABILITY, TITLE, THE CONDITION OF ANY DELIVERABLES, FITNESS FOR A PARTICULAR PURPOSE, OR INCREASED EFFICIENCY OF USE. CLIENT ACKNOWLEDGES THAT RXT’S OBLIGATIONS TO CLIENT ARE GOVERNED SOLELY BY THIS AGREEMENT AND EXPRESSLY WAIVES ITS RIGHT TO ASSERT ANY CLAIM AGAINST THE RXT ARISING UNDER TORT LAW, AS WELL AS ANY OTHER CLAIM UNDER ANY OTHER LEGAL OR EQUITABLE THEORY, OTHER THAN A CLAIM OF MATERIAL BREACH OF THIS AGREEMENT.
